Separate legal form from jurisdiction
“Free zone” describes a jurisdiction; “LLC” describes a legal form. A free zone can itself offer limited-liability structures. The useful comparison therefore starts with the activity you intend to carry out, the authority licensing it and the customers you need to serve.

Map the commercial permissions
Check where the company may operate and which approvals its activities require. Dubai has introduced a Free Zone Mainland Operating Permit; eligibility and conditions must be checked for the specific activity. Avoid choosing a structure on the assumption that a free-zone licence automatically authorises every mainland activity.

Design for ownership, responsibility and banking
Document the shareholder structure, the signatories and the people who will manage the operation. Prepare the business model, expected transactions and evidence of activity for bank due diligence. Incorporation and a bank account are separate steps; a registration package should not be treated as a guarantee of account approval.
Compare the operating model, not just the licence
Compare premises, recruitment, administration, renewal costs and reporting requirements against the intended operation. Ask qualified advisers to validate the legal and tax implications. The output should be a decision-ready structure and a cost model tied to your commercial plan, rather than a ranking of registration prices.
